Terms and conditions

Effective as of December 1, 2012

1. Scope

These General Terms and Conditions (GTC) form the basis of all business relationships between the customer and Müller Media. They are made available to the customer for review prior to the conclusion of the contract. Any deviations must be agreed upon in writing.

2. Conclusion of Contract

A contract is concluded when the customer signs a quotation or accepts it by email or in writing.

3. Scope of Services

The scope of services shall be defined by the customer and documented in writing by Müller Media. Any subsequent changes must be confirmed in writing. Müller Media reserves the right to modify its services if necessary or for important reasons and shall promptly inform the customer thereof in writing.

4. Prices and Payment

The remuneration shall be agreed upon in the quotation. Invoices are issued in stages according to the progress of the project. If an invoice is not paid by the due date, Müller Media may suspend further work after issuing a reminder.

5. Customer Obligations

5.1 The customer shall provide all documents and information required for the implementation of the project within the agreed timeframes and shall determine the date of publication.

5.2 The customer shall ensure that the documents provided and their use of the Internet comply with applicable Swiss and foreign laws, in particular criminal law, data protection law, copyright law, trademark law, unfair competition law, and any other applicable legal provisions. In the event of any violation, Müller Media shall not assume any liability and shall be entitled to suspend its services without prior notice.

6. Deadlines

All deadlines and delivery dates must be confirmed in writing. Müller Media shall make every effort to meet agreed deadlines. However, unavoidable or unforeseeable events, as well as delays caused by the customer, shall release Müller Media from its obligation to meet such deadlines.

7. Liability

7.1 Müller Media endeavours to provide uninterrupted and trouble-free operation of its services but cannot guarantee such availability and accepts no liability in this regard.

7.2 Müller Media shall not be liable for the integrity of data stored on or transmitted through its systems or via the Internet, nor for the accidental disclosure, corruption or deletion of data, or for any damage suffered by customers due to misuse of the connection, including computer viruses.

7.3 Neither Müller Media nor its agents or subcontractors shall be liable for any specific technical or commercial success, indirect damages such as loss of profits, third-party claims, or consequential damages arising from production downtime or data loss. Liability for slight negligence is excluded to the extent permitted by mandatory applicable law.

8. Final Provisions

8.1 Müller Media reserves the right to amend these General Terms and Conditions at any time. Any amendments shall be communicated to the customer promptly in writing.

8.2 Should any provision of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.

8.3 These General Terms and Conditions shall be governed by Swiss law. The exclusive place of jurisdiction shall be Zug, Switzerland.
